Terms and conditions

Welcome to Puree.app (the "Application"), an online platform owned and operated by Puree Limited, a New Zealand registered company.

These terms and conditions of use govern your use of the Application, including all features and functionalities, content and software, and services offered on or through the Application.

By using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Application.

Use of the Application
The Application is intended for use by catering companies to manage their business and prepare quotes for their customers. By using the Application, you represent and warrant that you are over the age of 18, and that you have the legal capacity to enter into a binding agreement.
Cancellations and refunds
Users may choose to subscribe to our services on a monthly or yearly basis, billed in advance. Users have the right to cancel their subscription at any time. Upon cancellation, the service will remain accessible until the end of the prepaid period. However, please note that we do not provide refunds for any unused portion of the subscription term. Therefore, if a user cancels their subscription before the end of the term for which payment has been made, they will not receive a refund for the remaining period, but the service will continue to be available to them until the end of the paid term.
Subscription Payments

Payment Processing Partner: Puree Limited uses Paddle (www.paddle.com), a UK-based third-party payments provider, to process subscription payments for the Application. By subscribing to our services, you acknowledge that you become a customer of Paddle, and not Puree Limited, for the purposes of payment processing.

Sales Tax and Jurisdiction: Paddle manages sales tax collection and remittance in accordance with local tax laws and regulations. Depending on your jurisdiction and applicable tax requirements, you may be exempt from paying sales tax on your subscription. It is the responsibility of each user to comply with their local tax obligations. When subscribing or renewing yoursubscription, we recommend you supply Paddle with your jursidiction and sales tax number.

Subscription Payment Schedule: Subscription fees are billed on a recurring basis, either monthly or annually, depending on the plan chosen at the time of subscription. Payments are processed on the anniversary date of your subscription start date.

Failed Payments: In the event of a failed payment, Paddle will attempt to process the payment again on days 3, 5, and 7 following the failed attempt. If payment cannot be successfully processed by the final attempt, your subscription will be paused, and you will be unable to send new quotes using the Puree app.

Subscription Cancellation and Data Removal: Puree reserves the right to cancel your subscription and delete all associated data from our systems if payment is not made after the 4 attempts made by Paddle. This action is a last resort and may be taken only after all attempts to process payment have failed.

User Responsibilities: Users are advised to ensure that their payment information is up to date and that sufficient funds are available to cover the subscription cost to avoid service interruption.

Changes to Payment Processing: Puree Limited reserves the right to change the payment processing partner and will notify users of any such changes in advance. Any changes to the payment processing terms will be communicated and updated in these Terms and Conditions.

Data Retention
Puree Limited retains customer data in accordance with the following retention schedule: Quotes and Orders will be retained for a period of 5 years from the date of creation, and Tasks will be retained for 3 months following their due date. After these periods, the respective data will be deleted. For further information on how we handle and protect your data, please refer to our Privacy Policy.
User Accounts
In order to use certain features of the Application, you will be required to register for an account. You agree to provide accurate, current and complete information about yourself as prompted by the Application's registration process, and to maintain and update your information to keep it accurate, current and complete. You are responsible for maintaining the confidentiality of your account password, and are responsible for all activities that occur under your account.
Intellectual Property
The Application and all content and software included on or used in connection with the Application, including but not limited to text, graphics, logos, images, audio and video clips, and digital downloads, is the property of Puree Limited or its licensors and is protected by copyright, trademark, and other laws of New Zealand and foreign countries. You may not reproduce, modify, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any content, software, products, or services obtained from the Application.
User Content
The Application may allow you to create and send quotes or proposals to your customers. By using the Application to create and send quotes or proposals, you represent and warrant that you have obtained all necessary consents from your customers for the collection, use and sharing of their personal information in accordance with the Privacy Policy. Puree Limited does not have any interest in this information and it will not be used for any purposes other than facilitating the quote or proposal process as requested by you.
Disclaimer of Warranties
The Application is provided on an "as is" and "as available" basis. Puree Limited makes no representations or warranties of any kind, express or implied, as to the operation of the Application or the information, content, materials, or products included on the Application. Puree Limited does not warrant that the Application will be uninterrupted or error-free, and does not make any representations or warranties as to the accuracy, completeness, reliability, or timeliness of any information, content, materials, or products provided on or through the Application. You expressly agree that your use of the Application is at your sole risk. Puree Limited will not be liable for any damages of any kind arising from the use of the Application, including but not limited to, direct, indirect, incidental, punitive, and consequential damages.
Limitation of Liability
In no event shall Puree Limited, its affiliates, licensors, and suppliers, be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Application or any portion thereof, whether based on warranty, contract, tort, or any other legal theory, and whether or not Puree Limited is advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless Puree Limited, its affiliates, licensors, and suppliers, and their respective officers, directors, employees, agents, and assigns, from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of the Application, or your breach of these Terms.
Modification of Terms
Puree Limited reserves the right to change or modify these Terms at any time without notice. Your continued use of the Application following any such changes or modifications constitutes your acceptance of the new Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of New Zealand, without giving effect to any principles of conflicts of law.
Dispute Resolution
Any dispute arising out of or related to these Terms or the Application shall be resolved through binding arbitration in accordance with the rules of the New Zealand Arbitration Association. The arbitration shall be conducted in New Zealand.
